Chief Legal Officer
The company’s lawyer in the room where decisions get made: contracts, corporate matters, disputes, and the risks nobody else is paid to notice.
CLO also means Chief Learning Officer. In any company with both, write the full title.
Who to hire
The shape of person who does this job well — and whether you should be hiring it at all yet.
Buy it by the hour until the volume or the stakes make that absurd — then hire. The usual triggers are a contract book too large to outsource, a regulated activity, a financing or an acquisition. General Counsel is the same seat under its traditional name, and in most companies the compliance function sits beneath it.
Education
A law degree and admission to practise in a jurisdiction that matters to you. This is one of the few seats where the credential is a legal requirement, not a signal.
Experience
8+ years post-qualification with in-house time. A pure private-practice background often struggles with the pace and the commercial judgment; ask what they have advised someone to do rather than what they advised against.
Vertical / domain experience
Jurisdiction and sector both bind: employment, privacy, securities, health and financial services are separate practices, and the gap between advising and practising in a jurisdiction is a licensing matter.
What it pays, roughly
$387,006 median, Canada — for Judges, lawyers and Quebec notaries, the closest occupation Statistics Canada actually measures, measured from $124,301 to $387,006 over 102,525 people. That occupation is broader than this role, so read it as an anchor, not a salary band — and note that a startup usually pays below it in cash and above it in equity.
Credentials and certifications
What exists, who issues it, and whether it means anything for this seat. A credential is evidence of a floor, never of judgment — and in a few of these roles it is a legal requirement rather than a nice-to-have.
| Credential | Issued by | When it matters |
|---|---|---|
| Admission to the bar or law society | The relevant bar or law society | Required to practise. Verify admission and standing directly with the regulator, every time. |
| In-house counsel membership | Association of Corporate Counsel | The professional body for in-house lawyers; a sign of orientation toward business rather than billable hours. |
| CIPP — privacy law certification | International Association of Privacy Professionals | Valuable where the company holds personal data across borders. |
What this role does at each stage
The same title means three different jobs depending on how much money is in the bank. Read the stage you are at, then read the next one — that is what you are hiring toward.
Outside counsel, on the handful of things that matter: incorporation, the cap table, the template contracts and the IP assignments.
Still outside counsel, with a budget and one internal owner of the contract process. A fractional GC a day a month is good value here.
A seat once contracts, employment matters and regulatory questions arrive weekly, or when a financing or acquisition is on the table.
Who it sits beside
A specialist seat is defined as much by the seats around it as by its own work — which hat it reports through, which one asks the adjacent question, and which one it must stay independent of.
Legal, compliance and risk are three seats that align closely and are usually one person early on, titled General Counsel. The compliance function commonly reports into legal; risk more often reports to the CFO, because its questions are financial.
Can one person hold this and something else?
The whole point of the many-hats problem: which of these jobs merge safely into one person, and which merges quietly cost you money or control.
Merges well with
CLO and Chief Compliance Officer in one person is normal below a few hundred people. Split them where a regulator expects compliance to be independent of the business — in financial services it is often required.
Keep separate from
Keep legal advice and the commercial decision in different chairs. A general counsel who also owns a revenue target stops giving unwelcome advice.
Reading a candidate
What good looks like in an hour, and what should stop the process.
Good signals
- Gives an answer with a recommendation attached
- Knows which decisions need outside specialists
- Keeps the contract templates current without being asked
Red flags
- Answers only in risks, never in options
- No commercial judgment
- Cannot say when something is good enough to sign
